NXP Eying Ambarella: Is It About Automotive or Edge AI?

Top automotive chipmaker NXP Semiconductors is reportedly in talks to acquire Ambarella, a company widely seen as centered on automotive silicon and known for its advanced driver assistance system (ADAS) designs. So, this acquisition, if it pushes through, will encompass two semiconductor firms serving similar markets with different products.

NXP, which has a large presence in automotive microcontrollers, wireless connectivity, and power management, could utilize Ambarella’s low-power, camera-centric AI chips for ADAS, autonomous driving, and vehicle security systems. Moreover, Ambarella’s combination of automotive systems-on-chips (SoCs) and software could bolster NXP’s push into software-defined vehicles (SDVs).

The shift toward SDVs also calls for greater computing power closer to the sensor, precisely the domain in which Ambarella operates. It’s worth mentioning that 58% of NXP’s semiconductor business is automotive, while 19% relates to industrial and IoT applications. And automotive is likely to generate roughly half of its revenue in 2026.

Apparently, Ambarella’s video processing chips make it a good match for NXP’s driver-assistance systems, self-driving vehicles, and security cameras. But is it all about automotive, or is it an attempt to marry the larger sensor world with edge AI technology, like onsemi’s acquisition of Synaptics? In fact, if this deal pushes through, it could be both.

While Ambarella is widely regarded as an automotive semiconductor outfit that has unveiled leading ADAS and self-driving solutions, the truth is that the automotive business accounts for only 22% of the Santa Clara, California-based processor designer’s revenue. The rest amounts to a mix of consumer and industrial video applications. Ambarella, founded in 2004 by Feng-Ming Wang and Les Kohn, went public in 2012. Its image processing technology is used in ADAS, autonomous vehicles, security cameras, and robotics. These image processing AI chips could complement NXP’s camera-based perception solutions for automotive, security, and other embedded camera applications.

Ambarella, known for its strength in video processing, has diversified from classical computer vision approaches to AI-based ones. Next, it transformed its specialized image processing technology into edge AI, enabling complex AI models to run directly on the device rather than in the cloud. So, the company, once popular for its pioneering ADAS silicon, eventually became known for low-power AI chips and software for edge devices such as cameras, vehicles, and robotics.

Take, for instance, Ambarella’s sourcing and co-development agreement with South Korea’s Hanwha Group signed in May this year. In this deal valued at more than $800 million, Ambarella will integrate its current and next-generation SoCs and software across Hanwha’s product lines in video security, robotics, industrial automation, and life sciences.

NXP has also been acquiring, developing, and licensing a variety of AI engines—neural processing units (NPUs)—to build its edge AI portfolio. In October 2025, it acquired Aviva Links for $243 million and Kinara for $307 million; both acquisitions echo a broader focus on AI hardware and connectivity for embedded systems.

Therefore, the ongoing talks reported by the Financial Times could be as much about automotive as about Ambarella’s penetration into edge AI verticals such as portable video and robotics. It could, for example, allow NXP to offer multi-domain, multi-modal sensor fusion, which is perceived as a big winner in the AI design era.

An attractive acquisition target?

Ambarella is currently unprofitable, and industry watchers don’t expect it to reach profitability over the next three years. In fact, it has been exploring strategic options, including a possible sale, since at least mid-2025. At the same time, its upside in automotive and edge AI makes it an attractive acquisition target.

It’s plausible that talks with NXP don’t lead to a formal proposal and that negotiations end without a definitive agreement. There is also a possibility that other potential buyers could emerge; larger semiconductor outfits are currently racing to consolidate and lock in AI-related assets.

On the other hand, Ambarella, valued at nearly $3.3 billion, must invest heavily in its edge AI technology while competing with rivals such as Microchip, Qualcomm, and Synaptics. That makes funding ongoing AI chip development more challenging for this video-processing chip specialist.

Neither NXP nor Ambarella has commented on the Financial Times story.
