When you manage contracts in Salesforce, a customer redline can arrive with a close date and unresolved liability, payment, or security terms. Commercial counsel has to reconcile the draft with the deal context, decide what the company can accept, and give sales a reviewed version with clear next steps.
GC AI is a turnkey enterprise legal AI platform for in-house counsel. As of October 2026, 2,100+ legal teams use our platform, including TIME, Riot Games, Wayfair, and SKIMS. For commercial legal work, we help teams apply their company positions to customer edits, prepare proposed language, and explain the changes to business colleagues.
With our Salesforce integration, sales can run a legal-built Playbook against the agreement and send counsel proposed counter-redlines. Our Agent Connectors also let counsel retrieve Salesforce deal context in GC AI chat. Legal can then assess the proposed language alongside the commercial facts and return a reviewed draft and negotiation guidance.
What Legal and Sales Need From Contract Review
Assign the review around the decisions each person owns. Commercial counsel or a contracts manager handles negotiation within delegated authority; finance, privacy, or security colleagues resolve issues in their areas. Legal operations and RevOps keep the process and record usable. Salesforce's contract collaboration guidance similarly distinguishes legal, sales, operations, and finance responsibilities.
Owner
Decision
What the Review Should Provide
Commercial counsel or contracts manager
Which customer changes fit approved positions, and which need escalation?
Proposed redlines, reasons for the changes, and exceptions tied to the relevant clauses.
Finance, privacy, or security reviewer
Can the company accept the terms or deliver the commitments within that reviewer's remit?
The exact proposed obligation, relevant deal facts, and the decision requested.
Sales owner
What can I send the customer, and what must I obtain or resolve?
A reviewed document version, negotiation guidance, and open actions.
Legal operations or RevOps
How will the team track the review and preserve its decisions?
Named owners, current status, version links, and recorded approvals.
Build this review into the contract process your team already uses. Decide how counsel's reviewed version and each owner's approval return to Salesforce, and which changes require another review before sales can send the draft.
Start With the Context Sales Already Has
On CZ and Friends, GC AI CEO Cecilia Ziniti talks with legal and business leaders about leading teams, scaling companies, and putting AI to work. Suzy General Counsel Rachel Harris described tracing a contracting bottleneck back to sales training: sellers were bringing legal professional services agreements even though Suzy sold software as a service. Harris asked:
The question becomes, have we not integrated ourselves into this workflow appropriately, to where once it gets to us, it feels like a bottleneck?
Harris's team built a homegrown contract management workflow in Salesforce, where sellers already worked from opportunity through close. That gave them a central place for customer context and early issue identification.
Start the review with the opportunity and the conversation that produced the contract. A proposed liability position may depend on the transaction's scope. A payment concession may reflect a commercial commitment legal has not seen. Bring those facts into the review and identify where they came from.
Two Ways to Review Salesforce Contracts With GC AI
Run a Legal Playbook Inside Salesforce
Agentforce connects to our Model Context Protocol (MCP) server to review contracts, run playbooks, and draft redlines directly in Salesforce.
In the demo below, Solutions Attorney Courtney O'Brien starts with a customer-edited SaaS agreement on an opportunity. She selects the file and a playbook built by legal, runs the review, and downloads the proposed counter-redlines. Sales can share the run and document link with counsel, then ask Agentforce follow-up questions such as what changed in the payment terms.
Legal supplies the preferred language, fallback conditions, and escalation rules. Your Salesforce administrator and GC AI contact can confirm how to enable this workflow for your organization.
Bring Salesforce Context Into GC AI Chat
Our Agent Connectors let you work from GC AI while retrieving Salesforce deal context. The demo shows searching open deals, requesting their stage, amount, key dates, and recent activity, and following a link back to the opportunity.
Use this path when you want to examine an agreement alongside its commercial history. Provide the current contract documents and company positions, then ask GC AI to analyze the proposed terms in that context. If the documents live in SharePoint, Google Drive, or Dropbox, use the relevant repository workflow to assemble the agreement family. The Salesforce connector requires organization enablement, your connected account, and permitted tools. Your existing Salesforce permissions apply. Agentforce and the connector in GC AI have separate setup requirements.
A Salesforce Contract Review From Intake to Sales Handoff
For SaaS and technology legal teams, a deal review may cover the MSA, order form, data processing addendum, and related schedules. Consider an illustrative SaaS deal with proposed annual fees of $120,000. Sales has attached the customer's edited master services agreement to the opportunity. The order form matches the proposed fees, but the MSA references a security schedule that is missing from the review package.
This hypothetical example uses a fictional company's positions. Apply your own company's approved positions when using the workflow.
Assemble the Review Package
Give the review a defined set of sources:
Salesforce opportunity details, including the deal owner, proposed amount, stage, relevant dates, and negotiation notes.
The current customer-edited MSA, order form, and every incorporated schedule available to the team.
The applicable playbook, approved fallback language, and approval requirements.
Earlier drafts or correspondence needed to understand concessions already discussed.
Record the document names and versions. If the security schedule is missing, identify it as an open item. Keep statements extracted from Salesforce separate from positions supplied by legal: a salesperson's note about an acceptable term does not establish that the company approved it.
Ask GC AI to identify the source of each deal fact and flag missing documents before drawing conclusions that depend on them. For other transaction types, adapt the source list. A patent-license review may also require checking USPTO application status and office actions as a separate diligence step.
Turn Departures Into Specific Decisions
In this example, the company's preferred liability cap is fees paid or payable during the preceding 12 months. A defined confidentiality fallback requires general counsel approval. Payment terms longer than 30 days require finance approval.
An illustrative review note could look like this:
Source and Finding
Proposed Response
Decision Still Needed
MSA liability clause: The customer excludes every confidentiality breach from the liability cap.
Restore the playbook's preferred cap. Prepare the approved confidentiality fallback for counsel to consider if the customer rejects that position.
Counsel checks the carveout's scope; the general counsel approves any use of the fallback.
MSA payment clause: Invoices are payable in 60 days.
Propose the company's 30-day position and explain the change in the sales handoff.
Finance decides whether to approve 60 days if sales requests an exception.
MSA incorporated documents: The agreement references an unavailable security schedule.
Identify the missing schedule and request it from the customer.
Legal reviews the schedule before completing its assessment.
Record each exception decision with its approver, date, and document version so the next reviewer can see which concessions the company approved.
For the limitation of liability issue, counsel should read the clause together with the definitions, indemnities, exclusions, and relevant remedies. The opportunity's $120,000 amount helps explain the deal's size. Calculating a contractual cap still requires checking the fee definition and measurement period in the agreement. Check Proposed Language Against the Current Draft
Review each proposed change in context. Confirm that it uses the defined terms correctly, preserves negotiated points, and reflects the applicable playbook version. Check that the explanation sent to sales matches the language in the document.
In GC AI chat, Easy Edit lets counsel review proposed Word document changes, edit or dismiss them, and download the resulting document with tracked changes. Counsel should resolve the substantive issues before treating the draft as ready to send.
The missing security schedule remains necessary to complete counsel's review. When it arrives, assess its commitments and whether they change the earlier analysis.
Give Sales a Version and a Next Action
The handoff should tell the deal owner which document to use and what remains open. For this hypothetical deal, a concise note could say:
Use the attached counsel-reviewed MSA for the next negotiation round. It proposes our preferred liability cap and 30-day payment terms. Ask the customer to provide the referenced security schedule. If the customer requests the confidentiality fallback, route it to the general counsel; if they retain 60-day payment terms, obtain finance approval. Legal review remains open pending the security schedule. Have the deal owner record that status and the reviewed document version in your existing Salesforce process. A contract review policy should identify who can approve exceptions and what happens when the counterparty changes an approved draft.
Cameron Clark, Head of Legal at Arc'teryx, describes his own contract-review work with GC AI:
What used to take an hour, like reviewing contract feedback and drafting a reply, now takes ten minutes, and the results are better.
Keep the Review Repeatable
After the deal, capture the instructions that helped counsel reach a useful result: required source documents, relevant opportunity fields, the applicable playbook, and the format of the sales handoff. Keep negotiated exceptions tied to their deal unless legal decides to adopt them as broader guidance.
To evaluate this GC AI workflow, choose a Salesforce opportunity with an agreement your legal team has already reviewed. Run the applicable playbook, compare the proposed edits with counsel's reviewed version, and check whether the handoff identifies the right approval owners and open items. Record missed issues and edits counsel rejects before deciding how to use the workflow on live deals.
How Does GC AI Fit With an Existing Contract Management System?
