At that price, the ADRs would be about 3.1% above the Thursday closing price of the common shares in Seoul, according to data compiled by Bloomberg. SK Hynix's common shares ended at 2.186 million won ($1,445) each on Thursday in South Korea.

Each SK Hynix ADR is equivalent to a 10th of a common share, according to an earlier filing with the US Securities and Exchange Commission.

Deliberations are ongoing and details of the US listing could still change, the people said. A spokesperson for SK Hynix didn't immediately respond to a request for comment.

At $149 per ADR, the offering would raise around $26.5 billion, data compiled by Bloomberg show. It would be the largest ever first-time share sale in the US by a foreign company, topping Alibaba Group Holding Ltd.'s $25 billion debut, according to data compiled by Bloomberg.

The offering comes as the Korea-listed shares of SK Hynix as well as rivals such as US-listed Micron Technology Inc. have swung wildly in recent days, as runaway enthusiasm for artificial intelligence infrastructure bets begins to cool. SK Hynix shares ended Thursday down 25% from a record-high close in late June, though they remain more than triple where they started the year.

The sale of 177.9 million ADRs representing 17.79 million common shares is more than seven times oversubscribed, Bloomberg News reported. The ADRs have attracted demand from institutional investors including global long-only funds, technology sector-focused funds, sovereign wealth funds and Asia-focused global investors, people familiar with the matter said earlier.

The offering is being led by Bank of America Corp., Citigroup Inc., Goldman Sachs Group Inc. and JPMorgan Chase & Co., with nine other firms participating.

SK Hynix has attracted indications of interest from Baillie Gifford, Coatue Management and Situational Awareness Partners for as much as $7 billion worth of ADRs in the offering.

The firm and longtime rival Samsung Electronics Co. are poised to ramp up investment in the country as part of a South Korean government-led initiative worth $880 billion.
