RUM Group's six-year agreement includes warrants for over 50 million shares at a penny apiece, marking one of the largest AI compute contracts to date.
RUM Group Inc., the company formerly known as Rumble Inc., just locked in a GPU services agreement worth approximately $13.7 billion over six years with a US-based cloud customer.
The deal, announced on August 23, also comes with a warrant term sheet granting the unnamed customer the right to purchase up to 50,808,408 Class A shares at an exercise price of $0.01 per share. The warrants vest in connection with actual service purchases and potential expansion agreements, which means the customer gets increasingly cheaper equity the more GPU capacity it consumes.
How the deal is structured #
The agreement is split into three equal tranches, with each tranche representing roughly $4.6 billion in GPU services. Delivery of the final tranche hinges on the customer approving a proposed delivery date, giving the buyer a degree of optionality on the back end of the contract.
On the warrant side, 50% of the shares vest across three tranches of 16.67% each, tied directly to the service purchases. The remaining 50% vest through five separate 10% tranches linked to expansion agreements.
The Northern Data pipeline #
This contract doesn’t exist in a vacuum. RUM Group acquired Northern Data AG in June 2026, picking up approximately 85.2% ownership of the company along with 22,000 NVIDIA H100/H200 GPUs and around 250 MW of operational power capacity.
The GPU services purchased under the new agreement will specifically support RUM Group’s Quake AI division, which was established following the Northern Data acquisition.
Before the Northern Data deal, the company had already committed $270 million in a multi-year agreement with Together AI for NVIDIA-powered GPU capacity. Going from a $270 million compute commitment to a $13.7 billion one represents a roughly 50x escalation in scale.
The Maysville, Georgia data center project sits at the center of RUM Group’s expansion plans. The facility is being positioned as a hub for high-performance computing resources tailored to AI workloads, though the buildout requires substantial capital expenditure across infrastructure, GPU procurement, and related funding.
For investors, the deal’s six-year duration provides revenue visibility, though the capital requirements are real. Building out GPU capacity at this scale demands either significant debt financing or equity raises, and the warrant structure already introduces dilution for existing shareholders.
