Nine of the biggest names in tech have quietly stacked up roughly $3.1 trillion in financial commitments that don’t appear on their balance sheets, nearly all of it tied to artificial intelligence infrastructure. The figure grew by $1.3 trillion in just three months.

The companies in question: Alphabet, Amazon, Meta, Microsoft, Oracle, Nvidia, Broadcom, AMD, and SpaceX. Their collective off-balance-sheet obligations now outweigh their reported on-balance-sheet leases and long-term debts by roughly threefold, even as their combined annual capital expenditure sits around $600 billion.

What’s actually hiding off the books #

The $3.1 trillion breaks down into two main buckets. About $1.2 trillion consists of uncommenced leases, essentially rental agreements for data centers, land, and facilities that haven’t kicked in yet. The remaining $1.9 trillion sits in purchase obligations, contractual commitments to buy chips, equipment, and other infrastructure components.

A Morgan Stanley report pegged the total at over $3.1 trillion when factoring in guarantees and leases from hyperscalers and chip firms. Hyperscalers’ guarantees alone reportedly exceed $2.7 trillion. These numbers sit in the footnotes of quarterly filings.

A Nikkei study from July estimated that five major tech firms’ hidden obligations stood at $1.65 trillion, representing an eightfold increase over four years.

Alphabet’s commitments nearly tripled in one quarter #

No single company illustrates the velocity of this buildup better than Alphabet. The Google parent’s purchase commitments rose from $332 billion at the end of March to $811 billion by the end of June, a 152% increase in a single quarter.

The cash flow problem nobody wants to talk about #

Some hyperscalers have already tipped into negative free cash flow as capital expenditures and commitment-related spending outpace revenue growth.

Off-balance-sheet obligations don’t trigger the same covenants or rating agency scrutiny as on-balance-sheet debt, which means these commitments can pile up with relatively little external friction. If AI demand does not materialize at scale, uncommenced leases still need to be honored or renegotiated and purchase obligations still need to be fulfilled or written off.

For context, $3.1 trillion is larger than the GDP of the United Kingdom. It’s roughly five times the annual capex these nine companies currently spend. And it grew by more than 70% in a single quarter. Credit analysts have started flagging the adequacy of current disclosures. Morgan Stanley’s decision to publish an explicit tally suggests the sell side is growing uneasy with the gap between reported liabilities and actual contractual exposure.
